1. Acceptance of Terms

By accessing or using the iTechSmart platform, website, or any associated services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to all terms, do not access or use our services.

2. Description of Service

iTechSmart provides a Unified Autonomous IT Operations (UAIO) platform that detects infrastructure incidents, performs AI-assisted triage, and executes policy-gated remediation with immutable ProofLink audit receipts. Services include, but are not limited to: autonomous monitoring, self-healing operations, compliance reporting, agent-based orchestration, and related SMS/email communications.

IMPORTANT: The platform executes actions ONLY on infrastructure explicitly authorized by the customer. The customer is solely responsible for granting appropriate access permissions and for all consequences of authorized actions.

iTechSmart operates under a Manual → Approval → Autonomous progression. Customers control the autonomy level at all times via the platform kill switch. Autonomous mode is opt-in and requires explicit customer authorization.

5. Subscription and Billing

• Paid subscriptions are billed monthly via Stripe.
• You may cancel at any time; cancellation takes effect at the end of the current billing period.
• Refunds are evaluated on a case-by-case basis — contact [email protected] within 7 days of charge.
• Free tier users are subject to usage limits defined in the platform dashboard.
• Pricing is subject to change with 30 days advance notice.

6. Acceptable Use

You agree not to use the platform to:

• Violate any applicable law, regulation, or third-party rights
• Transmit malicious code, conduct denial-of-service attacks, or attempt unauthorized access
• Reverse engineer, decompile, or extract platform source code
• Resell or sublicense access without a written white-label agreement
• Send unsolicited communications or spam via platform-connected messaging tools
• Use AI agents to perform actions outside the authorized scope of your account

7. Intellectual Property

All platform software, AI models, agent architectures, ProofLink protocols, and associated intellectual property are the exclusive property of iTechSmart (SDVOSB, CAGE 172W2). Nothing in these terms grants you ownership rights in platform IP. Customer data remains the property of the customer.

8. Data and Privacy

Your use of the service is governed by our Privacy Policy, incorporated herein by reference. We process data only as necessary to provide the service. Healthcare customers requiring HIPAA compliance must execute a Business Associate Agreement (BAA) prior to transmitting any PHI.

9. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

iTechSmart does not warrant that the service will be uninterrupted, error-free, or free from harmful components. AI-generated remediation actions are advisory and subject to customer-defined policy gates.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ITECHSMART SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID ITECHSMART IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

11. Indemnification

You agree to indemnify, defend, and hold harmless iTechSmart, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the platform, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate the service relationship at any time. iTechSmart reserves the right to suspend or terminate accounts that violate these Terms without prior notice. Upon termination, your right to access the platform ceases immediately. Customer data is retained per our data retention policy and available for export for 30 days post-termination.

13. Changes to Terms

We may modify these Terms at any time. The latest version will always be available at itechsmart.dev/terms with the effective date displayed. For material changes, we will notify registered users by email at least 30 days in advance. Continued use of the platform after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Atlanta, Georgia, except that either party may seek injunctive relief in a court of competent jurisdiction.
